Terms of Service

You must be at least 16 years old and able to form a binding contract to use the Service. The Service supports two primary roles:

You are responsible for the accuracy of your account information and for keeping your credentials confidential. You are responsible for all activity under your account.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Chefly Schedules application and website for your internal scheduling and team-communication purposes.

We may update, change, or discontinue features at any time. We will provide reasonable notice for material changes that affect active paid subscribers.

You agree not to use the Service in any of the following ways:

• •Use the Service unlawfully or to harass, threaten, or harm others
• •Upload unlawful, infringing, or malicious content of any kind
• •Attempt to access accounts, data, or systems you are not authorized to access
• •Reverse-engineer, scrape, or disrupt the Service or its infrastructure
• •Use the Service to send unsolicited commercial messages (spam)
• •Impersonate another person or misrepresent your affiliation with any business

⚠️ We may suspend or terminate accounts that violate these Terms without prior notice.

You and your restaurant retain ownership of the schedules, messages, and other content you submit ("Your Content"). You grant us a limited license to host, process, and display Your Content solely to operate and improve the Service.

You are responsible for the legality of Your Content and for having the rights and consents needed to provide it, including employee personal information entered into the platform. Our handling of personal information is described in our Privacy Policy.

The Service, including its software, design, branding, and trademarks, is owned by Chefly Back Office Suite or our licensors and is protected by applicable intellectual property laws. These Terms do not grant you any rights in our intellectual property except the limited license described in Section 2.

The Service relies on third-party infrastructure including Google Cloud Platform, Firebase (Firestore, Firebase Authentication, Firebase Cloud Messaging), and Google Play Billing. We are not responsible for third-party services, and your use of them is governed by their own terms and privacy policies.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

The Service is a scheduling and team-communication tool and does not provide legal, employment, HR, or compliance advice. You are responsible for complying with all applicable labor, wage, and scheduling laws in your jurisdiction.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHEFLY BACK OFFICE SUITE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD $100 IF YOU PAID NOTHING.

You agree to indemnify, defend, and hold harmless Chefly Back Office Suite and its officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: your use of the Service; Your Content; your violation of these Terms; or your violation of any law or third-party right, including your obligations as an employer.

You may stop using the Service and delete your account at any time via Profile → Settings → Delete Account or by contacting us at support@cheflybackofficesuite.com.

We may suspend or terminate your access for violations of these Terms or to protect the integrity and security of the Service. Sections that by their nature should survive termination -- including ownership, disclaimers, limitation of liability, and indemnification -- will remain in effect after termination.

These Terms are governed by the laws of the State of Arkansas, United States, without regard to conflict-of-laws rules. Any disputes arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in Faulkner County, Arkansas, and you consent to the personal jurisdiction of those courts.

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, provide additional notice within the Service. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

These Terms and the Privacy Policy constitute the entire agreement between you and Chefly Back Office Suite regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in full effect. We may assign these Terms in connection with a merger or sale of assets; you may not assign them without our written consent. Our failure to enforce any provision of these Terms is not a waiver of our right to do so in the future.
